RIGHTS ISSUE OF 437,500 NEW ORDINARY SHARES OF £0.01 PENNY EACH AT 376 PENCE PER SHARE ON THE BASIS OF ONE NEW ORDINARY SHARE FOR EVERY ONE EXISTING ORDINARY SHARES

Notice is hereby given, pursuant to section 90(5) of the Companies Act 1985, to persons whose names appear on the register of Members of ASSIMA PLC (the “Company”) at the close of business on 28 December 2006 (the “Record Date”) as holders of Ordinary Shares of 0.01 penny each (the “Ordinary Shares”) in the Company and who have no registered address in the United Kingdom, and who have not supplied an address in the United Kingdom to the Company for service of notices on them (“Relevant Shareholders”) that the following documents, being copies of the document issued or to be issued to the holders of Ordinary Shares in connection with and constituting the offer by way of rights (the “Rights Issue”) of 437,500 new Ordinary Shares (the “New Ordinary Shares”) at 376 pence per Share payable in cash on the basis of one New Ordinary Share for every one existing Ordinary Share held at the close of business on the Record Date, may be inspected or (subject as provided below) obtained on personal application by or on behalf of Relevant Shareholders at JCS Solicitors, Curzon House, 64 Clifton Street, London EC2A 4HB, during usual business hours on any weekday (Saturdays, Sundays and public holidays excepted) from the date hereof until 4.00 pm on 28 January 2007: (a) whether or not a Relevant Shareholder holds Ordinary Shares in certificated form, a provisional allotment letter (“Provisional Allotment Letter”) in respect of new Ordinary Shares provisionally allotted to such Relevant Shareholder pursuant to the Rights Issue, provided that a Provisional Allotment Letter may only be obtained on production of evidence of entitlement and provided that, in the case of Relevant Shareholders to whom an original Provisional Allotment Letter was dispatched by post, a Provisional Allotment Letter may only be obtained on surrender of such original to JCS Solicitors at the address referred to above. If the original is not so surrendered such Relevant Shareholder may only inspect a pro forma copy of a Provisional Allotment Letter.
