(Company Number 055543) At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 135 High Street, Bushey Heath, Hertfordshire WD2 1JA, on 22 December 2006, at 10.00 am, the following Resolutions were duly passed as a Special Resolution, as an Ordinary Resolution and as an Extraordinary Resolution respectively: “That the Company be wound up voluntarily, that Richard Anthony Oury and Matthew John Waghorn, of Oury Clark Chartered Accountants, Herschel House, 58 Herschel Street, Sough, Berkshire SL1 1HD, be and are hereby appointed Joint Liquidators for the purpose of such winding-up, and that in accordance with the provisions of the Company’s articles of association, the Liquidators be and are hereby authorised to divide among the Members in specie all or any part of the Company’s assets.” G Harkin, Director
