At an Extraordinary General Meeting of the above-named Companies, duly convened, and held at 5400 Westheimer Ct., Houston, Texas 77056 USA, on 8 December 2006, the subjoined Special Resolution was duly passed: “That the Companies be wound up voluntarily and Malcolm Cohen and Shagun Dubey, of BDO Stoy Hayward LLP, 8 Baker Street, London W1U 3LL, be and are hereby appointed Joint Liquidators for the purposes of such winding-up and are to act jointly and severally.” W Wiesen, Chairman
