following Special Resolution was duly passed:
“That the Company be wound up voluntarily, and that Phillip Anthony Roberts, of 29-30
Fitzroy Square, London W1T 6ET, be and is hereby appointed Liquidator of the Company
for the purposes of such winding-up.”
