(Company Number 05656251) At an Extraordinary General Meeting of the Members of the above-named Companies, duly convened, and held at The Old Barn, Caverswall Park, Caverswall Lane, Stoke-on-Trent, Staffordshire ST3 6HP, on 11 December 2006, the following Resolutions were duly passed as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That it has been proved to the satisfaction of this Meeting that the Companies cannot, by reason of their liabilities, continue their business, and that it is advisable to wind up the same and, accordingly, that the Companies be wound up voluntarily, and that Robert Michael Young and Ian Michael Rose, of Begbies Traynor, The Old Barn, Caverswall Park, Caverswall Lane, Stoke-on-Trent, Staffordshire ST3 6HP, be and are hereby appointed Joint Liquidators of the Companies for the purpose of the voluntary winding-up, and any act required or authorised under any enactment to be done may be done by any one or more persons holding the office of Liquidator from time to time.” P A Whieldon, Chairman
