VALA (UK) LP

Notice is hereby given, pursuant to section 10 of the Limited Partnerships Act 1907, that on 4 December 2006, Caterpillar International Ltd, the sole Limited Partner in the Partnership of Vala (UK) LP (a Limited Partnership registered in England and Wales with No LP 5953) (“the Partnership”), will assign its entire existing share and interest in the Partnership to Caterpillar Holding Ltd., a Company incorporated in Bermuda, whose registered office is at Canon’s Court, 22 Victoria Street, Hamilton HM12, Bermuda, and that by reason of such assignment Caterpillar Holding Ltd. will forthwith become the sole Limited Partner in the Partnership in place of Caterpillar International Ltd.
