(Company Number 02602322) At an Extraordinary General Meeting of the above-named Companies, duly convened, and held at the offices of Morgan Stanley, 25 Cabolt Square, Canary Wharf, London E14 4QA, on 30 October 2006, the following Special Resolutions were duly passed: “That the Companies be wound up voluntarily, and that Paul William Ellison and Gareth Wyn Roberts, of Hurst Morrison Thomson Corporate Recovery LLP, 5 Fairmile, Henley-on-Thames, Oxfordshire RG9 2JR, be and are hereby appointed Joint Liquidators for the purposes of such winding-up, that the Joint Liquidators be authorised to divide among the Members of “the Company” in specie the whole or any part of its assets and for the purposes of such division, to set the value as we might deem fair upon any class of the Companies property and to determine how such division should be effected among the Members, that the Joint Liquidators be remunerated on a time cost basis subject to the capped fees of £2,000 plus VAT, plus disbursements, and that the time incurred by the Joint Liquidators’ firm prior to appointment of Liquidator be payable by the Companies in the above matter.” S Macey, Chairman
