(Company Number 02932031) At an Extraordinary General Meeting of the above-named Company, duly convened and held at MacDonald Whatley Hall, Banbury Cross, Banbury OX16 0AN, on 27 October 2006, the following Resolutions were passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and that accordingly the Company be wound up voluntarily, and that Mark Elijah Thomas Bowen and Nigel Price, of Moore Stephens LLP, Beaufort House, 94-96 Newhall Street, Birmingham B3 1PB, be and are hereby appointed Joint Liquidators of the Company for the purpose of the voluntary winding-up.” At a Meeting of Creditors held on 27 October 2006 the Creditors confirmed the appointment of Mark Elijah Thomas Bowen and Nigel Price as Joint Liquidators and that anything required or authorised to be done by the Joint Liquidators be done by both or either of them.
