NOTICE OF PROPOSED CHANGES TO PARTNERSHIP INTEREST

This notice is given under section 10 of the Limited Partnership Act 1907, to all interested parties.
Pursuant to a deed dated 27 October 2006 between (1) Palmer Capital Second General Partners Limited, (2) Kingfisher Property Partnerships Limited (as Managing Trustee of the Palmer Capital Development Fund II Unit Trust), (3) Mourant Property Trustees Limited (as Managing Trustee of The Palmer Capital Development Fund II Jersey Unit Trust), (4) Alex Price and (5) Kingfisher Property Trustees Limited (as operator of the Partnership), it is agreed that Kingfisher Property Partnerships Limited and Mourant Property Trustees Limited shall become Limited Partners in the Partnership in place of Alex Price, who ceased to be a Limited Partner as of 27 October 2006.
The admission referred to in this notice shall take place from the date of completion of the above arrangements.
