At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at 6th Floor, Queens House, 55-56 Lincoln’s Inn Fields, London WC2A 3LJ, on 12 July 2006, the following Resolutions were duly passed, as a Special Resolution, as an Ordinary Resolution and as an Extraordinary Resolution respectively: “That the Company be wound up voluntarily, that Kevin Goldfarb be and is hereby appointed Liquidator for the purposes of such winding-up, and that the Liquidator be and is hereby empowered to distribute the assets of the Company in specie.” Director, Grosvenor Administration Limited
