LIMITED PARTNERSHIPS ACT 1907

Notice is hereby given that, pursuant to section 10 of the Limited Partnerships Act 1907, on 30 June 2006, MLIM Private Equity Holdings III, LLC, transferred 66.24355% of the interest held by it in Candover 2005 Fund US No. 1 Limited Partnership (the “Partnership”), a Limited Partnership registered in England with number LP010587 to each of the following entities in the following proportions:

Vesey Street Employee Fund III, L.P	4.23071 %
Vesey Street Employee Fund III (B), L.P	5.32288 %
Vesey Street Fund III (ERISA), L.P	7.65421 %
Passage III English-Irish Holdings Ltd	12.69365 %
DivPEP III A-L English-Irish Holdings Ltd	36.34210 %

(together the “New Limited Partners) and that with effect from 30 June 2006, each of the New Limited Partners was admitted to the Partnership as a Limited Partner. For and on behalf of Candover 2005 Fund US No. 1 Limited Partnership. 30 June 2006.
