TRANSFER OF INTEREST IN BARCLAYS PRIVATE EQUITY EUROPEAN FUND D—LP008358

Notice is hereby given, pursuant to section 10 of the Limited Partnerships Act 1907 that, on 30 June 2006, Havelock Fund Investments Pte Limited withdrew as a Limited Partner in Barclays Private Equity European Fund D (“the Partnership”), a Limited Partnership registered in England with No LP008358, and transferred its interest in the Partnership to Astrea LLC, a Limited Liability Company registered in Delaware, whose registered office is at 850 Library Avenue, Suite 204, Newark, Delaware 19711.
