In accordance with section 381A of the Companies Act 1985, the following written Resolutions were passed on 15 June 2006, as if they had been proposed at a General Meeting of the Companies, as a Special Resolution and as an Ordinary Resolution respectively: “That the Companies be wound up voluntarily, and that David John Crawshaw and Richard John Hill, of KPMG LLP Corporate Recovery, Arlington Business Park, Theale RG7 4SD, be and are hereby appointed Joint Liquidators for the purpose of such winding-ups and that any power conferred on them by the Companies, or by law, be exercisable by them jointly, or by either of them alone.” G E Liddle, Director
