At Extraordinary General Meetings of the Members of the above-named Companies, duly convened, and held at Siemens House, Oldbury, Bracknell, Berkshire RG12 8FZ, on 23 June 2006, the following Resolutions were passed, as a Special Resolution and as Ordinary Resolutions respectively: “That the Companies be wound up voluntarily, that Helen Timothe Phillips of Phillips & Co be and is hereby appointed Liquidator of the Companies for the purposes of such winding-ups and any act required or authorised under any enactment to be done by the Liquidator is to be done by all or any one or more of the persons for the time being holding that office, and that the Liquidator’s fees be fixed by reference to the time properly given by the Liquidator and the Liquidator’s staff in attending to matters arising in the winding-ups including those falling outside of statutory duties undertaken at the request of Members.” G Gent, Chairman
