(Company Number 3820450) At an Extraordinary General Meeting of the above-named Company, duly convened, and held at the offices of Valentine & Co., 4 Dancastle Court, 14 Arcadia Avenue, London N3 2HS, on Wednesday 5 April 2006, the following Resolutions were duly passed, as an Extraordinary Resolution and as Ordinary Resolutions respectively: “That it has been proved to the satisfaction of the Meeting that the Company cannot, by reason of its liabilities, continue its business, and that the Company be wound up voluntarily, that Robert Valentine and Mark Reynolds, of Valentine & Co., 4 Dancastle Court, 14 Arcadia Avenue, London N3 2HS, be appointed Joint Liquidators of the Company for the purposes of the voluntary winding-up, and that the Joint Liquidators be authorised to act jointly and severally in the liquidation.” D A Cooper, Chairman
