(Company Number 04019438) At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Imperial House, 18-21 Kings Park Road, Southampton SO15 2AT, on 5 April 2006, the following Resolutions were passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Kevin James Wilson Weir and Gregory Andrew Palfrey, of Smith & Williamson Limited, Imperial House, 18-21 Kings Park Road, Southampton SO15 2AT, be and are hereby appointed Joint Liquidators for the purposes of such winding-up.” At a subsequent Meeting of Creditors, duly convened pursuant to section 98 of the Insolvency Act 1986, and held on 5 April 2006, the appointment of Kevin James Wilson Weir and Gregory Andrew Palfrey as Joint Liquidators was confirmed.
