At an Extraordinary General Meeting of the above-named Company, convened, and held at 62 Wilson Street, London EC2A 2BU, on 29 March 2006, at 11.45 am, the following Resolutions were passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively:
“That it has been proved to the satisfaction of the Meeting that the Company cannot, by reason of its liabilities, continue its business, and that the Company be wound up voluntarily, and that Anthony Peter McQueen Benedict, of Benedict Mackenzie LLP, 3-4 Mulgrave Court, Mulgrave Road, Sutton, Surrey SM2 6LF, be appointed Liquidator for the purpose of the voluntary winding-up.”
