At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Tower 42 (Level 11), 25 Old Broad Street, London EC2N 4HQ, on 29 March 2006, the subjoined Special Resolution was passed for the Company: “That the Company be wound up voluntarily, and that Timothy John Edward Dolder and Nicholas Roy Hood, of Begbies Traynor (South) LLP, 32 Cornhill, London EC3V 3BT, be and they are hereby appointed Joint Liquidators for the purposes of such winding-up and that the Joint Liquidators act jointly and severally.” Wilmington Trust SP Services (London) Limited, Chairman
