At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 29 Broadacres, Luton, Bedfordshire LU2 7YF, on 20 March 2006, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively: “That the Company be wound up voluntarily and the winding-up be a Members’ voluntary winding-up, and that Alan Redvers Price, of Price & Co, PO Box 5895, Wellingborough NN8 5ZD, be and is hereby appointed Liquidator for the purpose of such winding-up.” Chairman
