At an Extraordinary General Meeting of the above Company held at 1 Brassey Road, Old Potts Way, Shrewsbury SY3 7FA, on 24 May 2005, the following Resolutions were duly passed as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Martin Williamson, of DS Insolvency Services Ltd, 29 King Street, Newcastle, Staffordshire ST5 1ER, be and is hereby appointed Liquidator of the Company for the purpose of its voluntary winding-up.” At a Meeting of Creditors held on 24 May 2005, the Creditors confirmed the appointment of Martin Williamson as Liquidator.
