At an Extraordinary General Meeting of the above-named Company, duly convened, and held at the offices of Valentine & Co., 4 Dancastle Court, 14 Arcadia Avenue, London N3 2HS, on Wednesday 16 February 2005, the following Resolutions were duly passed: “That it has been proved to the satisfaction of the Meeting that the Company cannot, by reason of its liabilities, continue its business, and that the Company be wound-up voluntarily, and that Robert Valentine and Mark Reynolds, of Valentine & Co, 4 Dancastle Court, 14 Arcadia Avenue, London N3 2HS, be appointed Joint Liquidators of the Company for the purposes of the voluntary winding-up, and that the Joint Liquidators be authorised to act jointly and severally in the Liquidation.” R Robertson, Chairman
