FRANCIS SHAW WIRE AND CABLE MACHINERY LIMITED

At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Bridgestones, 125-127 Union Street, Oldham OL1 1TE, on 15 February 2005, the following Resolutions were passed as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That it has been proved to the satisfaction of this Meeting that this Company cannot, by reason of its liabilities, continue its business, and that it is advisable that the same be wound up and that the Company be wound up accordingly, and that Robert Cooksey, of Bridgestones, 125-127 Union Street, Oldham OL1 1TE, be and is hereby appointed as Liquidator of the Company for the purposes of such winding-up.” At a Meeting of Creditors held on the same date at the same location, the above Resolutions were ratified by Creditors, and the appointment as Liquidator of Robert Cookey, of Bridgestones, 125-127 Union Street, Oldham OL1 1TE, was confirmed.
