At an Extraordinary General Meeting of the above-named Company, duly convened, and held at BDO Stoy Hayward LLP, 8 Baker Street, London W1U 3LL, on 13 December 2004, the subjoined Special Resolution was duly passed: “That the Company be wound-up voluntarily and that Malcolm Cohen, of BDO Stoy Hayward LLP, 8 Baker Street, London W1U 3LL, be and is hereby appointed Liquidator for the purposes of such winding-up.” C Benson, Chairman
