MESSENGER CONSTRUCTION (PETERBOROUGH) LIMITED

At an Extraordinary General Meeting of the Contributories of the above-named Company, duly convened, and held at 17 Websters Close, Glinton, Peterborough PE6 7LQ, on 3 December 2004, the following Resolutions were duly passed, as a Special Resolution, as an Ordinary Resolution and as an Extraordinary Resolution respectively: “That the Company be wound up voluntarily, that Michael James Gregson, of Bulley Davey, 69-75 Lincoln Road, Peterborough PE1 2SQ, be and is hereby appointed Liquidator for the purposes of winding-up the Company, and that, in accordance with the provisions of the Company’s articles of association, the Liquidator be and is hereby authorised to divide among the Members in specie all or any part of the Company’s assets.” P A Messenger, Director
