At an Extraordinary General Meeting of the above-named Companies, duly convened, and held at Metso Minerals (UK) Limited, Parkfield Road, Rugby, Warwickshire CV21 1QJ, on 23 November 2004, the following Special Resolutions were duly passed: “That the Companies be wound up voluntarily, and that Ian Best, of Ernst & Young LLP, One Bridewell Street, Bristol BS1 2AA, be and hereby is appointed Liquidator for the purposes of such winding-ups, and that the Articles of Association be and are hereby altered in accordance with section 9 of the Companies Act 1985 to include the provisions of Regulation 117 of Table 1 of the Companies (Tables A-F) Regulations 1985.” Chairman
