LLOYDS TSB LIFE ASSURANCE COMPANY LIMITED

Notice is hereby given that on 4 August 2004 an application was made to the Court of Session in Scotland (the “Court”) by Lloyds TSB Life Assurance Company Limited, incorporated under the Companies Acts and with its registered office at 25 Gresham Street, London EC2V 7HN (“Lloyds TSB Life”) applying for, inter alia, an Order under Part VII of the Finanical Services and Markets Act 2000 sanctioning a scheme (the “Scheme”), under which the long-term insurance business carried on by Lloyds TSB Life is to be transferred to Scottish Widows plc and Scottish Widows Annuities Limited (both of which are subsidiaries of Lloyds TSB Group plc), both incorporated under the Companies Acts and with their respective registered offices at 69 Morrison Street, Edinburgh EH3 8YF. Copies of the report of the independent expert on the Scheme (the “Independent Expert’s Report”) and a statement setting out the terms of the Scheme and containing a summary of the Independent Expert’s Report (the “Circular”) may be obtained, free of charge, by writing to Lloyds TSB Life Assurance Company Limited, Mountbatten House, Chatham, Kent ME4 4JF, or by calling the Helpline on 0845 300 0155 (if calling from the UK, Channel Islands or the Isle of Man) or +44 1634 834153 (if calling from elsewhere) Monday to Friday excluding Bank Holidays between 8.00 am and 6.00 pm, and on Saturdays between 9.00 am and 12.30 pm. They may also be accessed on the website at www.lloydstsb.com/scheme. In accordance with The Financial Services and Markets Act 2000 (Control of Business Transfers) (Requirements on Applicants) Regulations 2001 (the “Regulations”) Lloyds TSB Life will publish notices in relation to the application. These are expected to be published in mid August to early September in The London Gazette and Belfast Gazette and in the Financial Times and the Daily Telegraph newspapers (including the international editions of both papers). A further notice in relation to the application is expected to be published in early October in The Edinburgh Gazette . Any person who wishes to object to the Scheme should seek independent legal advice and lodge Answers to the application with the Court of Session at Parliament House, Parliament Square, Edinburgh EH1 1RQ, within 21 days of the publication of the last of these notices. This notice is given pursuant to Regulation 3(2)(b) of the Financial Services and Markets Act 2000 (Control of Business Transfers) (Requirements on Applicants) Regulations 2001 and has been approved by the Financial Services Authority.
