At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at 33 Holborn, London EC1N 2HT, on 24 March 2004, the following Resolutions were duly passed as a Special Resolution and as an Extraordinary Resolution respectively: “That the Company wound up voluntarily, and Robin H Davis, of Lane Heywood Davis, Anchor Brewhouse, 50 Shad Thames, Tower Bridge City, Tower Bridge, London SE1 2YB, be and is hereby appointed Liquidator for the purposes of the winding-up, and that the Liquidator be empowered to divide among the Members in specie the whole or any part of the Company’s assets.” C Matthews, Chairman
