At an Extraordinary General Meeting of the above-named Company, duly convened and held at Holiday Inn, Queens Drive, Ossett WF5 9BE, on 15 May 2003, the following Resolutions were passed as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That it has been proved to the satisfaction of the Meeting that the Company cannot, by reason of its liabilities, continue its business and that the Company be wound up voluntarily, and that Stephen Hull of the firm of Geoffrey Martin & Co, St James’s House, 28 Park Place, Leeds LS1 2SP, be and is appointed Liquidator of the Company.” J Penn, Director
