At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 4 Northumberland Place, North Shields NE30 1QP, on Tuesday 13 May 2003, at 10.30 am, the following subjoined Extraordinary Resolution was duly passed: “That it has been proved to the satisfaction of the Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that John Bell and Simon John Lundy, both Licensed Insolvency Practitioners of Hawdon Bell & Co, 4 Northumberland Place, North Shields NE30 1QP, be and they are hereby appointed Joint Liquidators for the purpose of such winding-up to act jointly and severally.” A P Muir, Chairman
