At an Extraordinary General Meeting of the above-named Company, duly convened, and held at First Floor, 16-17 Boundary Road, Hove, East Sussex BN3 4AN, on 21 March 2003, the subjoined Resolutions were passed as a Special Resolution and as an Extraordinary Resolution respectively: “That the Company be wound up voluntarily as a Members’ Voluntary Liquidation, and that K W Touhey, of Chantrey Vellacott, First Floor, 16-17 Boundary Road, Hove, East Sussex BN3 4AN, be and hereby is appointed Liquidator for the purposes of such winding-up.” P J Sellers, Chairman
