At an Extraordinary General Meeting of Members of the above-named Company, duly convened and held at London Ryan Hotel, 10-42 King’s Cross Road, London WC1X 9QN, on 25 March 2003, the following Extraordinary Resolution was duly passed: “That it has been proved to the satisfaction of the Meeting that the Company cannot, by reason of its liabilities, continue in business and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Ian David Holland be, and is hereby appointed Liquidator.” At a subsequent Meeting of the Creditors of the Company, held at London Ryan Hotel, 10-42 King’s Cross Road, London WC1X 9QN, on 25 March 2003, the appointment of the said Ian David Holland of Parkville House, 16 Bridge Street, Pinner, Middlesex HA5 3JD, as Liquidator, was confirmed for the purposes of winding-up the Company.
