At an Extraordinary General Meeting of the above-named limited liability Partnership, duly convened, and held at 32 Brook Street, Warwick CV34 4BL, on 11 March 2003, the following Resolutions were duly passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That it has been proved to the satisfaction of this Meeting that the limited liability Partnership cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the limited liability Partnership be wound up voluntarily, and that David Halstead Bottomley, of The Till Morris Partnership, 32 Brook Street, Warwick CV34 4BL, be and he is hereby appointed Liquidator for the purposes of such winding-up.” A Titman, Chairman
