BYALEX PREFABRICATED SYSTEMS LIMITED

At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 2 Bloomsbury Street, London WC1B 3ST, on 24 February 2003, the following Resolutions were duly passed, as Special Resolutions and as Extraordinary Resolutions respectively: “That the Company be wound up voluntarily, that Geoffrey Lambert Carton-Kelly and Louise Mary Brittain, of Baker Tilly, The Clock House, 140 London Road, Guildford, Surrey GU1 1UW, be appointed the Joint Liquidators of the Company for the purpose of such winding-up, that the duly appointed Liquidators are hereby authorised under the provisions of section 165(2a) of the Insolvency Act 1986 to exercise the powers laid down in Part 1 of Schedule 4 of the Insolvency Act 1986 and that the Liquidators are hereby authorised to divide and distribute amongst the Members as appropriate, in specie or in kind, the whole or any part of the assets of the Company.” W Hoffman, Chairman
