(t/a Empress Pottery) At an Extraordinary General Meeting of the above-named Company, duly convened, and held at the offices of Walletts Insolvency Services, Adventure Place, Hanley, Stoke-on-Trent, Staffordshire ST1 3AF, on 21 February 2003, the following Extraordinary Resolution was duly passed: “That it has been proved to the satisfaction of the Company that this Company cannot, by reason of its liabilities, continue its business, and that it is desirable that the same should be wound up and that the Company be wound up accordingly, and that Michael Francis McCarthy, of Walletts Insolvency Services, 2-6 Adventure Place, Hanley, Stoke-on-Trent, Staffordshire ST1 3AF, be and is hereby appointed the Liquidator of the Company for the purposes of such winding-up.” J Tilstone, Chairman
