At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at the offices of Paris Smith & Randall, No. 1 London Road, Southampton SO15 2AE, on 26 February 2003, the following Special Resolution was duly passed: “That it is desirable to reconstruct the Company, and for that purpose the Company be wound up voluntarily, and that David John Stringer, of 5 Bassett Wood Drive, Southampton, be and is hereby appointed Liquidator for the purposes of such winding-up. Further that such Liquidator be given the authority under section 110 of the Insolvency Act 1986, to enter into the reconstruction agreement and to pay preferential and unsecured Creditors in full.” J J Chantler, Chairman
