At an Extraordinary General Meeting of the Company, duly convened, and held at Industriestrasse 45, D-95519 Vorbach, Germany, on 20 February 2003, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively: “That the Company be wound up voluntarily, and that Peter Leonard Thurston of Queen Anne House, 69-71 Queen Square, Bristol BS1 4JP, be and is hereby appointed Liquidator of the Company.” W Daniel, Chairman
