At an Extraordinary General Meeting of the above-named Companies, duly convened, and held at the offices of Elliot, Woolfe & Rose, Premier House, 112 Station Road, Edgware, Middlesex HA8 7TT on 19 February 2003, the subjoined Extraordinary Resolution was duly passed: “That it has been proved to the satisfaction of this Meeting that the Companies cannot, by reason of their liabilities, continue their business, and that it is advisable to wind up the same, and accordingly that the Companies be wound up voluntarily, and that Melvyn L Rose of Elliot, Woolfe & Rose, 12th Floor, Premier House, 112 Station Road, Edgware, Middlesex HA8 7TT, be and he is hereby appointed Liquidator for the purposes of such winding-up.”
