At an Extraordinary General Meeting of the above-named Company convened and held at 30 Reading Road South, Fleet, Hampshire, on 18 November 2002, at 2.30 pm, the following Extraordinary Resolution and Ordinary Resolution were passed respectively: “That it has been proved to the satisfaction of the Meeting that the Company cannot, by reason of its liabilities, continue its business, and that the Company be wound up voluntarily, and that Robert James Thompson of Rendell Thompson, 30 Reading Road South, Fleet, Hampshire GU52 7QL be appointed Liquidator of the Company for the purpose of the voluntary winding-up.” A Sutton, Chairman 18 November 2002
