At an Extraordinary General Meeting of the Members of the above-named Company, duly convened and held at 346 Glossop Road, Sheffield S10 2HW, on 7 January 2003, the following Resolutions were passed, as a Special Resolution and as an Ordinary Resolution respectively: “That the Company be wound up voluntarily and that Andrew J Maybery and Christopher J Brown, of Hart Shaw, be and are hereby appointed Joint Liquidator of the Company for the purposes of the voluntary winding-up.” P Gilmartin, Chairman
