At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held on 20 December 2002, the following Special Resolution was duly passed: “That the Company be wound up voluntarily, and that Helen Timothe Phillips, of Phillips & Co, 21-23 Station Road, Gerrards Cross, Buckinghamshire SL9 8ES, be and she is hereby appointed Liquidator of the Company for the purposes of such winding-up.” S Miller, Chairman
