At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at Monahans, 38-42 Newport Street, Swindon SN1 3DR, on 20 December 2002, the following Extraordinary Resolution was duly passed: “That it has been proved to the satisfaction of the Company that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and further that Paul Michael McConnell, of Monahans, 38-42 Newport Street, Swindon, Wiltshire SN1 3DR, be and he is hereby appointed Liquidator of the Company for the purpose of the voluntary winding-up.” G M Kibblewhite, Chairman
