OPEN OFFER OF ORDINARY SHARES

Notice is hereby given, pursuant to the provisions of section 90(5) of the Companies Act 1985, to those persons registered as holders of ordinary shares of 20p each of Chelsfield plc (the “Company”) who do not have a registered address within the United Kingdom and who have not supplied to the Company an address within the United Kingdom for the giving of notices (“Relevant Shareholders”) that the following documents (being copies of the documents despatched to ordinary shareholders in connection with and constituting the open offer (the “Open Offer”) of up to 16,354,351 new ordinary shares at a price of 285p per share payable in full on acceptance on the basis of 1 new ordinary share for every 15 ordinary shares held at the close of business on 19 March 2002) may be inspected or (subject as provided below) obtained on personal application by or on behalf of Relevant Shareholders at the offices of Ashurst Morris Crisp, Broadwalk House, 5 Appold Street, London EC2A 2HA, during normal business hours (and on 16 April 2002 up to midnight) on any weekday (Saturdays and public holidays excepted) up to midnight on 16 April 2002: 1. a circular dated 25 March 2002 addressed to ordinary shareholders containing details of the Open Offer and constituting a prospectus relating to the Company and the new ordinary shares for purposes of the Listing Rules made under Part VI of the Financial Services and Markets Act 2000; and 2. the application form in respect of the new ordinary shares offered under the Open Offer provided that where an application form was despatched by post to a Relevant Shareholder, such Relevant Shareholder will not be entitled to obtain a further application form but may only inspect a pro forma copy thereof, unless the original application form so despatched by post is surrendered to Ashurst Morris Crisp (for the attention of Mr David Kershaw) at the above address.
