At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Moore Stephens Corporate Recovery, Beaufort House, 94-96 Newhall Street, Birmingham B3 1PB, on 25 February 2002, the following Resolutions were duly passed as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Roderick Graham Butcher, of Moore Stephens Corporate Recovery, Beaufort House, 94-96 Newhall Street, Birmingham B3 1PB, be and is hereby appointed Liquidator of the Company for the purpose of the voluntary winding-up.” At a Meeting of Creditors held on 25 February 2002, the Creditors confirmed the appointment of Roderick Graham Butcher, Liquidator, and that anything required or authorised to be done by the Liquidator be done by him.
