At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Oury Clark, Herschel House, 58 Herschel Street, Slough, Berkshire SL1 1PG, on 5 March 2002, the subjoined Extraordinary Resolution was duly passed: “That it has been proved to the satisfaction of this Meeting that the Company cannot by reason of its liabilities continue in business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Donald Phillip Gendall and Derrick Arthur Smith of Oury Clark, Herschel House, 58 Herschel Street, Slough, Berkshire SL1 1PG, be and are hereby appointed Joint Liquidators for the purpose of such winding-up.” P A Ward, Director
