At an Extraordinary General Meeting of the above-named Company, duly convened, and held at the Southampton Park Hotel, 12-13 Cumberland Place, Southampton, on 21 February 2002, at 2.30 pm, the following Extraordinary Resolution was duly passed: “That Tucker Engineering Limited cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily.” P Tucker, Chairman
