By Written Resolutions of the Members of the above-named Company, duly convened, and held on 28 January 2002, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively: “That Timothy Gerald Walsh of PricewaterhouseCoopers, Cornwall Court, 19 Cornwall Street, Birmingham B3 2DT and Richard Victor Yerburgh Setchim of PricewaterhouseCoopers, Plumtree Court, London EC4A 4HT, be and are hereby appointed Joint Liquidators of the Company for the purposes of such winding-up, and any act required or authorised under any enactment to be done by the Joint Liquidators is to be done by all or any one or more of the persons for the time being holding office.” D J Sims, for and on behalf of all the Members
