At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at Knollys House, 11 Byward Street, London EC3R 5EN, on 4th April 2001, the following Special Resolution was duly passed: “That the Company be wound up voluntarily, and that Kevin Goldfarb, of Griffins, 33 St. Georges Drive, London SW1V 4DG, be and is hereby appointed Liquidator for the purposes of such winding-up.” J.
