At an Extraordinary General Meeting of the above-named Company, duly convened, and held at the offices of Levy Gee, 66 Wigmore Street, London W1H 0HQ, on 20th April 2001, at 1.30 p.m., the following Resolutions were duly passed, as an Extraordinary Resolution and as Ordinary Resolutions respectively: “That it had been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Colin Ian Vickers and John William Powell, of Levy Gee, 4th Floor, Southfield House, 11 Liverpool Gardens, Worthing, West Sussex BN11 1RY, be and are hereby appointed Joint Liquidators for the purposes of such winding-up, and that anything required or authorised to be done by the Joint Liquidators be done by both or either of them.” At a subsequent Meeting of Creditors, duly convened pursuant to section 98 of the Insolvency Act 1986, and held on the same day, the appointment of Colin Ian Vickers and John William Powell was confirmed.
