By written Resolution of all the Members, pursuant to section 381a of the Companies Act 1985, the folllowing Special Resolution was passed on 11th April 2001: “That the Company be wound up voluntarily, and that Peter Brinsley Hilton, of Richardson Nutt, St. James’s Chambers, St. James’s Street, Derby DE1 1RA, be and he is hereby appointed Liquidator for the purpose of such winding-up.” W.
