At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at the offices of Berg Kaprow Lewis, 35 Ballards Lane, London N3 1XW, on 14th March 2001, at 11 a.m. the following Special Resolutions, were duly passed: “That the Company be wound up voluntarily, and that S. T. Bennett, a Licensed Insolvency Practitioner, of Berg Kaprow Lewis, 35 Ballards Lane, London N3 1XW, be appointed Liquidator, for the purposes of such winding-up, and that the Liquidator is entitled to draw down his fees on a time cost basis together with expenses on a quarterly basis.” B.
